Terms & Conditions

These terms apply to BuildRoom commissions, downloadable resources, support, licenses, and related services.

1. Agreement

These Terms & Conditions govern purchases, commissions, downloadable resources, support, and related services provided by BuildRoom. By paying an invoice, purchasing a resource, approving a quote, or otherwise engaging BuildRoom, you agree to these Terms.

For the purposes of these Terms, the purchaser or person requesting services is the Client. BuildRoom refers to BuildRoom, operated as a DevRoom company. These Terms bind BuildRoom and the Client, including their permitted successors and assigns.

If a written quote, invoice, proposal, license, or signed agreement expressly conflicts with these Terms, that specific written document controls only for the conflicting part and only for the relevant Product.

2. Products And Resources

A Product is any custom build, map, schematic, world, render, model, file, consultation, service, or other deliverable provided by BuildRoom. A BuildRoom Resource is any premade, downloadable, or store-based Product made available by BuildRoom.

BuildRoom manages the delivery of each Product. All scope, pricing, approvals, revisions, delivery decisions, and support requests must be agreed with BuildRoom through official BuildRoom communication channels.

BuildRoom is responsible for managing the service relationship with the Client. Agreements, instructions, and approvals made outside official BuildRoom channels are not binding unless BuildRoom confirms them in writing.

3. Quotes, Scope, And Minimum Value

A commission starts from a written scope, quote, invoice, or other written confirmation issued or accepted by BuildRoom. The scope should describe the requested Product, key requirements, price, payment schedule, and any agreed deadline.

Requests outside the agreed scope may require an Additional Charge. This includes substantial changes in direction, new features, additions, retractions, edits, or other updates that were not included in the original scope.

Unless BuildRoom agrees otherwise in writing, custom Products must meet a minimum Product value of 50 in the invoice currency, excluding taxes, payment processing charges, platform charges, and other fees.

4. Payment, Fees, And Taxes

The Client agrees to pay BuildRoom the amount shown on the invoice, checkout page, quote, or written payment request. The total Payment may include Product cost, platform fees, service fees, VAT, sales tax, payment processor charges, or other charges shown before payment.

BuildRoom may charge a service fee of up to 10% of the Product cost unless a different fee is approved by BuildRoom in writing. Fees, tips, payment processor charges, and taxes are not treated as refundable Product cost unless BuildRoom expressly states otherwise.

BuildRoom may charge VAT or other applicable taxes according to the Client's location, BuildRoom's location, and applicable law. Tips are voluntary extra payments and do not increase the agreed scope unless BuildRoom confirms otherwise in writing.

5. Payment Schedule And Delivery Access

Unless BuildRoom agrees otherwise in writing, work begins after the required upfront payment has been received. For Products where the Client has direct access to the work during production, BuildRoom may require 100% payment upfront.

For Products where the Client does not have direct production access, BuildRoom may accept a payment schedule such as 50% upfront and 50% on completion. BuildRoom may withhold final files, downloads, world access, transfers, or other deliverables until full payment is received.

Downloadable Resources must be paid in full before access is provided. Because Resources are virtual downloadable goods, Resource purchases are non-refundable unless BuildRoom is required by law or expressly agrees otherwise.

6. Deadlines And Estimated Dates

A Deadline is a completion date expressly agreed by BuildRoom in writing before payment. Estimated completion dates, informal timeline comments, and target dates are estimates only and are not Deadlines.

A Deadline may become void if delay is caused by circumstances outside BuildRoom's reasonable control, including delayed Client feedback, delayed third-party software or platform updates, changes to the Product scope, missing assets, unavailable approvals, or other delays not caused by BuildRoom.

The Client is responsible for providing timely feedback, assets, access, requirements, and approvals. If the Client does not respond for seven days or more without prior written notice, BuildRoom may pause work, revise the timeline, charge additional fees, or terminate the service.

7. Revisions And Additional Charges

BuildRoom may include revisions when they are part of the agreed scope. Revisions are intended to align the Product with the approved brief; they are not a replacement for a new scope or a major change in direction.

BuildRoom may request an Additional Charge before performing work that falls outside the original agreement. If the Client declines an Additional Charge, BuildRoom may continue with the previously agreed scope or stop the affected extra work.

Requests must be clear, lawful, and technically reasonable for the Product and the platform involved.

8. Client Responsibilities

The Client warrants that they have the rights, permissions, licenses, and releases needed for any materials, references, brands, servers, software, or assets provided to BuildRoom.

The Client must not use BuildRoom services to request unlawful, infringing, abusive, deceptive, harmful, or platform-violating content. The Client must not interfere with BuildRoom systems, scrape BuildRoom websites, reverse engineer protected services, distribute malicious code, or attempt to disrupt BuildRoom operations.

If BuildRoom faces a claim because of the Client's materials, instructions, conduct, misuse of the Product, breach of these Terms, or infringement of another party's rights, the Client agrees to defend and indemnify BuildRoom to the fullest extent permitted by law.

9. Intellectual Property And Licenses

BuildRoom retains ownership of BuildRoom's pre-existing intellectual property, workflows, methods, templates, internal files, source materials, reusable assets, and BuildRoom Resources unless BuildRoom expressly transfers rights in writing.

After full payment, the Client receives the license or ownership rights stated in the written quote, invoice, product description, or commercial license. If no broader license is stated, the Client receives a non-exclusive, non-transferable license to use the delivered Product for the Client's own project or server.

The Client must not claim, copy, resell, leak, reproduce, redistribute, sublicense, or publicly distribute any Product, Resource, source file, internal file, or BuildRoom intellectual property except as allowed by the applicable written license.

10. Commercial Licenses

A Commercial License allows the Client to sell or distribute a Product in the way stated by that license. A Commercial License may require a separate cost and must be confirmed by BuildRoom in writing.

Commercial License A allows the Product to be sold to one purchaser. Once sold, the Client transfers their rights in that Product to the purchaser according to the license terms.

Commercial License B allows the Product to be sold to up to five purchasers. The Client retains ownership rights granted by the license, and purchasers may not claim, copy, reproduce, leak, sell, or otherwise distribute the Product unless the license allows it.

Commercial License C allows the Product to be sold to unlimited purchasers. The Client retains the rights granted by the license and is responsible for setting permitted purchaser usage, subject to any limits stated by BuildRoom in writing.

11. Backups, Portfolio Use, And Publicity

BuildRoom may store backups, copies, screenshots, renders, videos, project files, or related materials for operational, support, archival, legal, quality assurance, and portfolio purposes.

Unless BuildRoom agrees otherwise in writing, BuildRoom may show completed or in-progress Product media on BuildRoom websites, social media, portfolios, proposals, case studies, and marketing channels. BuildRoom will avoid intentionally disclosing confidential Client information when doing so.

The Client may request confidentiality before payment or before sharing sensitive materials. BuildRoom may accept, reject, or price confidentiality requirements based on the scope of the request.

12. Product Support

Unless otherwise agreed in writing, completed custom Products include 30 days of Product Support starting from delivery. Product Support covers issues, bugs, or inconsistencies caused directly by BuildRoom within the agreed scope.

Product Support does not cover issues caused by Client edits, third-party updates, server configuration, plugins, software changes, platform changes, misuse, unauthorized modifications, or circumstances outside BuildRoom's control.

Extended support, additional support days, new requests, and support outside the original scope may require an Additional Charge.

13. Refunds, Cancellations, And Termination

Payments to BuildRoom are non-refundable unless these Terms, a written agreement, applicable law, or BuildRoom's written decision states otherwise. Refunds, when granted, apply to Product cost only unless BuildRoom expressly includes other amounts.

If BuildRoom cancels or prevents completion of a Product while the Client is compliant with these Terms, the Client may be eligible for a refund of the unpaid or undelivered portion of the Product cost, as determined by BuildRoom in good faith.

If a valid Deadline is exceeded for reasons caused by BuildRoom, BuildRoom may offer a partial refund, service credit, revised timeline, or other remedy. If the Product is substantially incomplete after a valid Deadline for reasons caused by BuildRoom, BuildRoom may offer a larger refund or cancellation remedy.

If the Client cancels, stops participating, refuses required payment, breaches these Terms, provides unlawful materials, or fails to communicate for seven days or more without notice, BuildRoom may pause or terminate the service and may retain payments for work performed, reserved time, fees, and losses.

14. Confidentiality

Information shared between the Client and BuildRoom for a Product is confidential when it is marked confidential or would reasonably be understood as confidential from the circumstances.

Confidentiality does not apply to information that is public, already known without breach, independently developed, received lawfully from a third party, approved for release in writing, or required to be disclosed by law.

Confidential information may be shared with people or service providers who need it to help BuildRoom provide the Product, operate the business, comply with law, or enforce these Terms.

15. Disclaimers And Warranties

BuildRoom provides services using reasonable skill and care. The Client and BuildRoom each warrant that they have authority to enter into the applicable agreement.

Except for express written warranties, BuildRoom provides Products, Resources, websites, and services as is and as available. BuildRoom does not guarantee that Products will be error-free, uninterrupted, secure, compatible with every server or software version, available at every time or location, free from harmful materials, or guaranteed to meet every expectation.

BuildRoom is not affiliated with Mojang Studios or Microsoft. Minecraft names, marks, and related assets belong to their respective owners.

16. Liability

To the fullest extent permitted by law, BuildRoom will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, replacement costs, or loss of goodwill.

To the fullest extent permitted by law, BuildRoom's total liability for any claim related to a Product, Resource, service, or these Terms will not exceed the amount paid by the Client to BuildRoom for the specific Product or Resource giving rise to the claim.

Nothing in these Terms limits liability where limitation is not permitted by applicable law.

17. Privacy

BuildRoom may collect personal data needed to operate the website, communicate with Clients, process payments, provide Products, manage support, prevent abuse, comply with legal obligations, and improve services.

Personal data may include contact details, Discord identifiers, payment and billing details provided through payment processors, messages or form submissions, project files, IP address, device information, cookie data, transaction information, and support history.

BuildRoom may share personal data with service providers such as payment processors, hosting providers, analytics providers, email providers, accountants, legal advisers, and other providers needed to operate the service. BuildRoom does not sell personal data to third parties for their own direct marketing.

Depending on applicable law, Clients may have rights to access, correct, delete, restrict, export, or object to certain personal data processing. Requests can be made through BuildRoom's official contact channels.

18. Changes To These Terms

BuildRoom may update these Terms from time to time. The version posted on this page applies from the stated last updated date unless a written agreement states otherwise.

Continued use of BuildRoom services, purchases, support, or Products after an update means the Client accepts the updated Terms.
